Terms of Service

These terms govern your use of FilingSmith — this website, the FilingSmith apps, and the alerts and diffs the service delivers. By using the service you agree to them. If you do not, please do not use it.
FilingSmith is operated by Segesta Enterprises Pty Ltd (ACN 701 174 852), an Australian company. Its registered details are on the about page.
1. The disclaimer that matters most
FilingSmith provides general information only. It is not financial product advice, and it is not a recommendation to buy, sell, or hold any security.
Nothing FilingSmith sends you takes into account your objectives, financial situation, or needs. It does not rate, recommend, forecast, or value any security or issuer. It reports what a public filing discloses changed relative to a prior filing, with sources attached, and stops there.
Before acting on any information from FilingSmith, consider whether it is appropriate for you and obtain independent financial, legal and tax advice. Investing carries risk, including the loss of capital. Past performance says nothing about future performance.
Always read the filing. FilingSmith points at the source precisely so that you can.
2. What the service does, and its limits
FilingSmith monitors SEC EDGAR for 10-K, 10-Q and 8-K filings from companies you follow, computes a deterministic comparison against the prior comparable filing, and delivers a summary with citations back to the filed document.
We take the accuracy of figures seriously — they are read from SEC’s XBRL data and checked in code, and a narrative whose figures cannot be reconciled is discarded rather than sent. But you should understand the service’s real limits:
- It is not comprehensive. It tracks a defined set of change categories. A filing may contain something material that falls outside them, and the absence of an alert is not a statement that nothing happened.
- It depends on sources we do not control. SEC’s systems, the data issuers tag, and how they tag it are all outside our control, and issuers restate and amend filings.
- It is not real time and not guaranteed. Alerts are usually delivered within minutes of a filing appearing on EDGAR, but delivery depends on networks, push providers and email providers. Delays and non-delivery are possible.
- It is provided on an “as is” basis, subject to section 8.
Do not use FilingSmith as your only source of information about a security, and do not use it where a delayed or missing alert would cause you loss.
3. Your account
You need an account, identified by your email address and verified by a one-time code sent to it. You are responsible for keeping access to that mailbox secure, and for activity under your account.
One account is for one person. Do not share credentials, and do not create an account with an email address you do not control. Tell us at support@filingsmith.com if you believe your account has been accessed by someone else.
You must be at least 16 years old.
4. Subscriptions, billing and cancellation
Free tier. Filing alerts, at no cost, with no payment details required.
Paid tier. Adds the full grounded diff. Charged as a recurring monthly subscription at the price shown at checkout, in advance, and renewing automatically each month until cancelled. Payments are processed by Stripe; we never handle your card details.
Cancellation. You may cancel at any time, yourself, from your account. Cancellation stops the next renewal; your paid access continues to the end of the period you have already paid for. We do not pro-rate part-months.
Refunds. Subscription fees are generally non-refundable, except where a refund is required by the Australian Consumer Law or where we choose to give one. If the service materially fails to do what this page says it does, contact us — we would rather fix it or refund it than argue about it.
Price changes. We may change prices. Any change is notified by email at least 30 days before it applies to you, and never applies to a period already paid for. If you do not accept a new price, cancel before it takes effect.
Failed payments. If a renewal payment fails we may retry it, and may suspend paid features until payment succeeds. Your account and your followed companies are not deleted for non-payment; the account reverts to the free tier.
During the beta. No fees are charged during the private beta. Beta participants receive paid features at no cost, and will be told before that changes.
5. Acceptable use
Do not:
- resell, redistribute or republish FilingSmith’s generated diffs as a product or feed;
- scrape, or use automated means to extract, the service’s content beyond ordinary personal use;
- attempt to access another user’s account or data, or probe, disrupt or overload the service;
- use the service to break any law, or to give financial advice to someone else as though it were yours;
- reverse engineer the service except to the extent that restriction is unenforceable by law.
You may of course use what you learn from a diff for your own investment decisions, and quote from a diff with attribution.
6. Source data and intellectual property
SEC filings and the XBRL data derived from them are public records published by the U.S. Securities and Exchange Commission. FilingSmith is not affiliated with, endorsed by, or approved by the SEC, nor by any issuer whose filings it processes. Company names and tickers are used only to identify the filer.
The service — its software, design, and the generated narratives — belongs to us. You get a personal, non-exclusive, non-transferable right to use it while your account is active. Feedback you send us we may use freely and without obligation.
7. Availability and changes
We may change, suspend or discontinue any part of the service. Where a change materially reduces what a paid subscription provides, we will notify paying subscribers by email beforehand, and you may cancel.
We may suspend or terminate an account that breaches these terms. You may close your account at any time by emailing support@filingsmith.com; see the privacy policy for what happens to your data.
8. Liability
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or other law that cannot lawfully be excluded. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law.
Subject to that, and to the maximum extent permitted by law:
- the service is provided without warranties of accuracy, completeness, timeliness, or fitness for a particular purpose;
- we are not liable for any investment decision you make, or for any trading loss, lost profit, lost opportunity, or indirect or consequential loss;
- where our liability can be limited but not excluded, it is limited, at our option, to resupplying the service or paying the cost of having it resupplied;
- our total aggregate liability to you in any 12-month period will not exceed the fees you paid us in that period.
9. Governing law
These terms are governed by the laws of Victoria, Australia, and you and we submit to the non-exclusive jurisdiction of the courts of that state.
10. Changes to these terms
We may update these terms. The date at the top will change, and for material changes affecting your rights or what you pay we will notify you by email before they take effect. Continuing to use the service after that means you accept the updated terms.
